9.1 Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

YOU AND AUTOPILOT AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES (COLLECTIVELY, "DISPUTES") WILL BE SETTLED BY BINDING ARBITRATION, EXCEPT THAT EACH PARTY RETAINS THE RIGHT TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN A COURT OF COMPETENT JURISDICTION TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF A PARTY'S INTELLECTUAL PROPERTY RIGHTS.

YOU ACKNOWLEDGE AND AGREE THAT YOU AND AUTOPILOT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

9.3 Arbitration Rules and Forum

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect. The arbitration will be heard by one arbitrator selected in accordance with the AAA Rules. The AAA Rules are available at www.adr.org or by calling 1-800-778-7879.

The arbitration shall be held in Wilmington, Delaware, or at such other location as may be mutually agreed upon by the parties.

All filing, administration, and arbitrator fees and expenses shall be paid by you unless otherwise required by law. If you initiate arbitration and your claim is determined to be frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), you agree to reimburse Autopilot for all fees associated with the arbitration that Autopilot paid on your behalf. Each party shall bear their own attorneys' fees and costs unless the applicable law provides otherwise. If Autopilot prevails in arbitration, you shall reimburse Autopilot for its reasonable attorneys' fees and costs.

9.6 Class Action Waiver

YOU AND AUTOPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9.7 Time Limitation on Claims

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
